PLEASE REVIEW THESE TERMS CAREFULLY. THEY AFFECT YOUR LEGAL RIGHTS AND INCLUDE A BINDING ARBITRATION PROVISION THAT IMPACTS HOW DISPUTES ARE RESOLVED, INCLUDING YOUR RIGHTS TO BRING CLAIMS IN COURT OR PARTICIPATE IN CLASS ACTIONS.

These Terms of Use (“Terms”) form an agreement between you and Lyoness Bespoke Jewels, LLC /d/b/a Lyoness Jewels, LLC, (“Lyoness Jewels,” “we,” “our,” or “us”). They govern your access to and use of https://lyonessjewels.com/ and any related mobile sites, applications, services, features, or tools where these Terms appear or are referenced (collectively, the “Site”).

1. Acceptance of These Terms

By visiting or using the Site, creating a customer account, or purchasing products from Lyoness Jewels, you acknowledge that you have read, understand, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated by reference. If you do not agree with these Terms or our Privacy Policy, you may not use the Site.

Certain sections, services, or promotions offered on the Site may be governed by additional terms (“Additional Terms”). When those Additional Terms apply, your use of those features constitutes your acceptance of them.

2. Changes to These Terms

We may update, revise, or replace any portion of these Terms at our discretion. When we make changes, we will post the revised version on the Site and update the “Effective Date.” If the changes are material, we may also provide additional notice such as email or a highlighted banner.

Your continued use of the Site after updated Terms are posted constitutes acceptance of all revisions. We encourage you to review the Terms regularly.

3. Third-Party Services and Features

Some functions on the Site, such as payment processing, financing, virtual try-on tools, reviews, Wishlist functionality, and integrated applications, are provided by third-party partners (“Third-Party Providers”). Your use of these features may be governed by separate terms established by those providers.

You acknowledge and agree that:

• We do not control, supervise, or assume responsibility for Third-Party Providers
• We are not liable for any acts, omissions, errors, or services provided by them
• Any disputes or claims relating to Third-Party Providers must be directed to the applicable provider

Examples include Shopify Payments, PayPal, Affirm financing, and technology providers powering virtual try-on.

4. Use of the Site

4.1 Eligibility

The Site is intended for individuals age 13 or older who reside in the United States or its territories. If you are under 18, you may use the Site only with the involvement and supervision of a parent or legal guardian who agrees to be bound by these Terms.

By using the Site, you represent that:

• You are capable of forming a binding contract
• You meet all eligibility requirements in this section

4.2 Account Registration and Security

Some Site features may require account creation. You agree that all information you provide is accurate, current, and complete. Your use of personal information is also governed by our Privacy Policy.

If you choose or are assigned a username, password, or other login credentials, you must:

We reserve the right to:

All trademarks, logos, service marks, product photography, jewelry designs, and brand elements appearing on the Site are owned by Lyoness Jewels or our licensors. You may not use any such marks without our express written consent.

The Site, including all text, images, design elements, interface components, product descriptions, and code (collectively, “Content”), is protected by United States and international copyright laws. All rights are reserved.

Copying, distributing, modifying, or displaying any portion of the Site without permission is prohibited, except for:

• Personal, non-commercial use
• Temporary downloads automatically cached by your browser
• Permitted uses expressly described in Section 6

Custom jewelry designs, including sketches, renderings, CAD files, and design concepts, are the intellectual property of Lyoness Jewels unless otherwise agreed in writing.

6. Limited License to You

We grant you a limited, revocable license to access and use the Site for personal, non-commercial purposes. This license does not permit:

• Commercial use of the Site or its Content
• Copying, selling, or exploiting any Content for commercial gain
• Use of data mining tools, robots, or scraping technologies
• Modification or derivative uses of the Site
• Use of Lyoness Jewels trademarks or branding without permission

You may download or print a reasonable number of pages from the Site for your personal reference, provided that you do not alter them and do not remove copyright notices.

If you wish to use any materials from the Site for purposes not explicitly permitted in this section, please contact us for authorization.

7. Prohibited Uses

You agree that you will not use the Lyoness Jewels Site for any purpose that is unlawful, abusive, harmful, or otherwise inconsistent with these Terms. This includes, but is not limited to, the following prohibited activities:

7.1 Unlawful Conduct

• In violation of any federal, state, or local laws, regulations, or ordinances
• In violation of export-control or data-transfer restrictions
• To engage in or promote fraudulent, deceptive, or misleading conduct

7.2 Unauthorized Communications

• Send unsolicited advertising, promotions, spam, chain letters, or mass messages
• Use our contact forms or messaging tools to solicit business without written approval

7.3 Misrepresentation and Impersonation

• Impersonate Lyoness Jewels, our employees, other users, or any third party
• Use email addresses, account credentials, or identities belonging to someone else
• Falsely claim affiliation with Lyoness Jewels

7.4 Data Abuse

• Collect, harvest, scrape, or mine information about other users
• Systematically gather or store product listings, prices, photos, or descriptions
• Build or attempt to build a database from Site content

7.5 Interference with the Site

• Use tools, software, scripts, bots, spiders, or automated systems to access or interact with the Site
• Overload, disrupt, or damage the Site or servers
• Introduce malware, viruses, worms, trojans, or harmful code
• Attempt to bypass security features or gain unauthorized access
• Use metatags or hidden text referencing Lyoness Jewels trademarks
• Use a buying agent or purchasing proxy to complete transactions
• Interfere with the proper functioning of the Site

Any violation of this section may result in suspension or termination of your account, cancellation of orders, or legal action where appropriate.

8. User Contributions

The Site may provide spaces for customer reviews, product feedback, submitted photos, design testimonials, or other forms of user-generated content (“User Contributions”). These areas allow our community to share experiences, but Lyoness Jewels does not endorse or verify any statements posted by users.

8.1 Ownership and License

Any User Contributions you submit are treated as non-confidential and non-proprietary. By providing content, you grant Lyoness Jewels and our affiliates a:

• Non-exclusive
• Worldwide
• Royalty-free
• Irrevocable
• Perpetual
• Fully transferable and sublicensable license

to use, reproduce, modify, publish, display, distribute, and create derivative works from your content for any lawful purpose, including advertising, marketing, and product improvement.

8.2 Right to Moderate

We may, but are not obligated to:

• Monitor User Contributions
• Edit, refuse, or remove content at our discretion
• Share content with law enforcement or third parties when appropriate
• Take legal action against misuse or unlawful conduct

You understand that Lyoness Jewels is not required to store, maintain, or return any User Contributions.

8.3 Your Responsibility

You confirm that:

• You are fully responsible for the content you submit
• You have the legal right and authority to post the content
• Your content is accurate, lawful, and compliant with these Terms
• Your content does not infringe the rights of any third party

You agree to indemnify, defend, and hold Lyoness Jewels harmless from claims or damages arising from your User Contributions or your misuse of the Site.

9. Content Standards

These standards apply to all User Contributions. You agree that your content will not:

• Include false, misleading, or deceptive statements
• Contain defamatory, obscene, vulgar, hateful, unsafe, harassing, discriminatory, or otherwise objectionable material
• Promote unlawful behavior or encourage others to break the law
• Infringe upon any intellectual property rights, privacy rights, or publicity rights
• Impersonate another individual or misrepresent your identity
• Include advertisements, promotions, contests, or commercial solicitations unless approved by Lyoness Jewels
• Suggest endorsement by Lyoness Jewels unless expressly stated

We reserve the right to determine, in our sole judgment, whether content violates these standards.

10. Information About You and Your Use of the Site

Our collection and use of your personal information is governed by our Privacy Policy. By accessing or using the Site, you consent to:

• The collection of information described in the Privacy Policy
• Our use of that information for order processing, customer support, fraud prevention, and Site optimization
• Communications from us regarding your account, orders, or Site interactions

11. Online Purchases

When you make a purchase through the Site (“Transaction”), you may be required to provide payment credentials, billing details, shipping information, and other identifying data.

11.1 Payment Authorization

By submitting your information, you confirm that:

• You are legally authorized to use the payment method provided
• All information submitted is accurate and complete

You authorize Lyoness Jewels to share your payment details with:

• Shopify Payments
• PayPal
• Affirm
• Shipping carriers
• Fraud-prevention services
• Any other third party necessary to complete your order

Verification steps may be required before we accept or ship your order.

11.2 Product Descriptions

All product descriptions, specifications, features, prices, and images are subject to change without notice. Measurements (including carat weight, dimensions, and stone counts) may be approximate. The inclusion of any product on the Site does not guarantee availability.

11.3 Order Limitations

We reserve the right to:

• Set quantity limits
• Reject any order
• Cancel orders prior to shipment
• Limit or refuse coupon or promotional code use
• Restrict Transactions suspected of fraud or abuse

11.4 Your Responsibilities

You agree to pay:

• The price displayed at checkout
• Shipping and handling charges
• Applicable taxes

You are responsible for complying with all applicable laws governing possession, use, and resale of purchased products.

11.5 Communications

By placing an order, you consent to receiving:

• Shipping notifications
• Account-related calls, emails, or texts
• Customer service outreach

We may use automated dialing systems where permitted by law.

12. Product Images

We strive to display our jewelry as accurately as possible. However:

• Colors, details, and finishes may vary based on your device
• Images may appear larger or smaller depending on screen settings
• Some product images may be enlarged to show craftsmanship or detail

Lyoness Jewels does not guarantee that your screen will display colors or proportions with perfect accuracy.

13. Pricing, Availability, Acceptance and Accuracy

Acknowledgment of your order means we have received it, not that it has been accepted, processed, or shipped.

While we work diligently to ensure accurate product information, occasional errors may occur, including:

• Incorrect pricing
• Inaccurate descriptions
• Misstated availability
• Delayed updates

We reserve the right to:

• Correct errors
• Update information without prior notice
• Cancel orders resulting from inaccuracies

We apologize for any inconvenience and appreciate your understanding.

Order Acceptance: Our acknowledgment of your order means we have received it but does not constitute acceptance. We reserve the right to inspect, verify, and accept or reject any order prior to shipment. We may cancel orders that appear fraudulent, contain pricing errors, or exceed quantity limits.

13A. Pricing Information for EU Customers

13A.1 Total Price Display

For customers in the European Union, all prices displayed on the Site are inclusive of Value Added Tax (VAT) at the applicable rate for your country of delivery. The total price, including VAT, delivery costs, and any other charges, will be displayed before you confirm your order.

13A.2 Price Reductions

Where we announce a price reduction for products offered to EU consumers, the prior price shown is the lowest price we have charged for that product within the 30 days preceding the price reduction.

13A.3 Currency

Prices for EU customers may be displayed in Euros (EUR) or the local currency of your country of delivery. Any currency conversion will be disclosed before you complete your purchase.

14. Returns, Exchanges and Shipping

If your purchase does not meet your expectations, Lyoness Jewels offers a structured return and exchange process as outlined below. These terms apply to online and in-store purchases unless otherwise specified.

14.1 Return and Exchange Eligibility

Eligible jewelry items may be:

• Returned within 30 days of the purchase or shipment date
• Exchanged within 60 days of the purchase or shipment date

For watches purchased online, returns must be initiated within 30 days of the shipping date.

During the holiday period, items purchased between October 24, 2025 and December 24, 2025 may be returned through January 24, 2026.

14.1A Right of Withdrawal for EU Consumers

If you are a consumer residing in the European Union, you have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires 14 days from the day on which you, or a third party other than the carrier indicated by you, acquires physical possession of the goods.

To exercise the right of withdrawal, you must inform us of your decision to withdraw from this contract by an unequivocal statement (e.g., a letter sent by post or email). You may use the attached model withdrawal form, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal: If you withdraw from this contract, we shall reimburse all payments received from you, including the costs of delivery (with the exception of supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract.

You shall send back the goods to us without undue delay and in any event not later than 14 days from the day on which you communicate your withdrawal from this contract. You will bear the direct cost of returning the goods. You are only liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods.

14.2 Condition of Merchandise

To qualify for a return or exchange, merchandise must:

• Be in original, unworn condition
• Include all original packaging, boxes, certificates, warranty cards, and paperwork
• Include all accompanying components (e.g., watch links)

If you return a ring that was sized at the time of purchase, any paid sizing fee will be refunded after inspection and processing.

14.3 Non-Returnable and Non-Exchangeable Items

The following items are final sale, unless otherwise required by law:

• Custom jewelry and bespoke design orders
• Engraved items
• Jewelry modified beyond initial sizing
• Special-order watches
• Gift cards (except where redemption is legally required)
• Replacement merchandise issued under a protection plan
• Items purchased through third-party leasing programs

14.3A Exceptions to the Right of Withdrawal (EU Consumers)

The right of withdrawal does not apply to the supply of goods that are made to the consumer's specifications or are clearly personalized. This includes but is not limited to:

• Custom jewelry and bespoke design orders
• Engraved items
• Jewelry modified beyond initial sizing at the customer's request

You will be clearly informed at the time of purchase if a product is custom-made and therefore exempt from the right of withdrawal.

14.4 Refund Method

Refunds are issued to the original form of tender, subject to the following:

• Credit or Debit Card: Credited to the same account used at purchase
• Gift Card: Refunded as a new Lyoness Jewels gift card
• Cash Purchases: If cash funds are unavailable or the refund exceeds $500, a corporate refund check may be mailed within 21 days
• Check Purchases: Refunded via corporate check mailed within 21 days

If your purchase involved a trade-in, you will receive either your original trade-in item (if available) or a comparable item of similar appraised value.

If your original purchase involved a trade-in, upon return you will receive either: (i) your original trade-in item if available, or (ii) a merchandise credit equal to the appraised trade-in value at the time of the original transaction.

14.5 Gift Returns

With a valid gift receipt, you may return the item within 30 days for:

• A Lyoness Jewels gift card, or
• An exchange for merchandise of equal or greater value

Gift items purchased through leasing programs are excluded.

14.6 Online Returns

For online purchases:

• Refunds will be issued to the original payment method
• Delivery and shipping charges are non-refundable
• Refund processing generally takes approximately five (5) business days from receipt of the item
• Financial institutions may take an additional 3–7 business days to reflect the credit

14.6.1 Pre-Paid Return Label

Lyoness Jewels provides a complimentary pre-paid return label for most online orders. Customers may use our online returns portal to generate and print the label.

14.6.2 Self-Shipped Returns

If you prefer to ship your return independently, a non-pre-paid return label and return address are included on your packing slip.

Customers are responsible for:

• Purchasing postage
• Ensuring adequate packaging
• Including the original packing slip and all documentation

14.7 Inspection and Approval

All returned merchandise is subject to inspection by our Quality Assurance team. Refunds and exchanges are issued only after verification that the returned item:

• Is unworn and undamaged
• Has not been altered beyond approved sizing
• Includes all original components and documentation

Items failing inspection may be returned to the customer or deemed ineligible for credit.

14.8 Shipping and Delivery

14.8.1 Shipping Methods and Timeframes

We offer various shipping methods with estimated delivery timeframes displayed at checkout. Delivery dates are estimates only and not guaranteed.

14.8.2 Shipping Charges

Shipping and handling charges will be calculated and displayed at checkout before you complete your purchase. Expedited shipping options may be available for an additional fee.

14.8.3 Order Processing

Orders are typically processed within 1-2 business days. You will receive a shipping confirmation with tracking information once your order ships.

14.8.4 Delivery Issues

For customers outside the European Union: Risk of loss and title for purchased items pass to you upon delivery to the carrier.

For customers in the European Union: Risk of loss or damage passes to you only when you, or a third party indicated by you (other than the carrier), physically acquire possession of the goods.

We are not responsible for delays caused by shipping carriers, weather, customs processing, or other circumstances beyond our control. However, if delivery of your order has not taken place within 30 days (or any later date agreed with you), you are entitled to terminate the contract.

14.9 Product Warranty

14.9.1 Legal Guarantee of Conformity (EU Consumers)

If you are a consumer residing in the European Union, you benefit from a legal guarantee of conformity for goods for a period of two (2) years from delivery of the goods.

14.9.2 Commercial Warranty (All Customers)

Lyoness Jewels provides a commercial warranty that jewelry purchased from us will be free from manufacturing defects for one (1) year from purchase.

14.9.3 Warranty Exclusions

• Normal wear and tear
• Lost stones or items
• Damage from accidents, misuse, or abuse
• Unauthorized repairs or modifications
• Products not purchased directly from Lyoness Jewels
• Consumable items like batteries
• Discoloration from chemicals or cosmetics

14.9.4 Warranty Claims

To make a warranty claim, contact customer service with your proof of purchase.

14.9.5 Extended Protection Plans

Extended protection plans may be available for purchase.

14.9.6 Implied Warranties

EXCEPT WHERE PROHIBITED BY LAW, ANY IMPLIED WARRANTIES ARE LIMITED TO THE DURATION OF THIS EXPRESS WARRANTY.

15. Copyright Infringement Policy

Lyoness Jewels respects the intellectual property rights of others. If you believe your copyrighted work, or the work of someone you are authorized to represent, has been used on our Site in a way that constitutes infringement, you may submit a notice to our designated copyright agent at:

To be valid, your notice must be in writing, signed, and include the following information:

You may link to the Lyoness Jewels homepage as long as your link is fair, lawful, and does not harm our reputation or imply approval or endorsement without our written consent.

The Site may provide social media features that allow you to link to or share certain content. These features may permit you to link from your website to specific content on our Site, send communications containing our content, or display selected portions of our Site on third party websites.

You may not establish a link from any site you do not own. You may not frame or display any part of the Site on another site. You may not link to any page other than the homepage. You may not take any action that conflicts with these Terms.

Any website from which you link, or on which you display our content, must comply with the Content Standards in these Terms. You agree to cooperate with us in correcting any unauthorized linking or display of our materials. We reserve the right to withdraw linking permission or disable social media features at any time.

17. Links to Third Party Websites

The Site may contain links to third party websites or resources, including advertisements. These links are provided for your convenience only. Lyoness Jewels has no control over third party sites and accepts no responsibility for their content or for any loss or damage you may incur by using them.

If you choose to visit any third party website linked from the Site, you do so at your own risk and are subject to the terms, conditions, and privacy policies applicable to those sites.

18. Geographic Restrictions

Lyoness Jewels operates the Site from the United States and makes the Site available for use by individuals located within the United States. We make no representation that the Site or any of its content will be appropriate or available for use outside the United States.

Accessing the Site from locations outside the United States is at your own initiative and risk. You are solely responsible for complying with all applicable laws in your jurisdiction.

19. Disclaimer of Warranties

Lyoness Jewels does not guarantee that files available for download from the internet or the Site will be free of viruses or harmful code. You are responsible for implementing security measures suitable to your needs and for maintaining external methods for recovering lost data.

Your use of the Site, its content, and any services or products obtained through the Site is at your sole risk. The Site, its content, and all items accessed through it are provided on an as is and as available basis without warranties of any kind, whether express, implied, statutory, or otherwise.

Lyoness Jewels does not warrant that the Site will be accurate, secure, reliable, error free, uninterrupted, or free from defects, viruses, or harmful components. We do not warrant that the Site or the products and services offered through it will meet your expectations.

To the fullest extent permitted by law, Lyoness Jewels disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non infringement. Some jurisdictions do not allow limitations on implied warranties, so these limitations may not apply to you.

Security Measures: You are responsible for implementing sufficient procedures and checkpoints to satisfy your requirements for anti-virus protection, accuracy of data input and output, and maintaining external means for reconstruction of any lost data. WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY DISTRIBUTED DENIAL-OF-SERVICE ATTACKS, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, PROGRAMS, OR DATA DUE TO YOUR USE OF THE SITE.

The limitations in this section do not apply to EU consumers to the extent they would restrict or exclude mandatory statutory rights under applicable EU consumer protection law.

20. Limitation of Liability

To the fullest extent permitted by law, Lyoness Jewels, its affiliates, licensors, service providers, officers, employees, contractors, and agents will not be liable for any damages of any kind arising from or relating to your use or inability to use the Site, any linked websites, any content on the Site, or any services or products obtained through the Site.

This includes direct, indirect, incidental, special, consequential, and punitive damages such as loss of profits, loss of business, loss of goodwill, loss of data, personal injury, emotional distress, and similar harms, whether caused by tort, negligence, breach of contract, or otherwise.

These limitations do not apply to the extent liability cannot be excluded or limited under applicable law.

Nothing in these Terms excludes or limits our liability for (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any matter for which it would be illegal for us to exclude or limit liability; or (d) defective products under applicable product liability laws.

21. Indemnification

You agree to indemnify, defend, and hold harmless Lyoness Jewels, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, suppliers, successors, and assigns from any claims, obligations, losses, damages, judgments, costs, or expenses, including reasonable attorneys fees, arising out of or relating to your violation of these Terms or your use of the Site.

This includes your User Contributions, your unauthorized use of Site content, and your reliance on any information obtained from the Site.

22. Information, News, and Press Releases

The Site may contain information, announcements, and press releases regarding Lyoness Jewels or its affiliates. Although we strive to ensure accuracy as of the date such materials are published, we do not guarantee that information remains current. We are under no obligation to update any such materials.

Information about third parties included on the Site should not be interpreted as an endorsement.

23. Waiver

No waiver of any term or condition in these Terms will be effective unless it is in writing and signed by the party granting the waiver. A waiver of any breach will not constitute a waiver of any other or subsequent breach, nor will a failure to enforce any provision be considered a waiver of that provision.

24. Dispute Resolution and Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT OR TO PARTICIPATE IN A CLASS ACTION.

(a) Applicability. These Terms are governed by the Federal Arbitration Act. To the fullest extent permitted by law, you and Lyoness Jewels agree that any dispute, claim, or controversy between us that relates in any way to your use of the Site, your relationship with us, or any aspect of these Terms or our Privacy Policy shall be resolved through individual, binding arbitration as described in this Section.

(b) Informal Resolution Requirement. Before either party initiates arbitration or litigation, you and Lyoness Jewels agree to attempt to resolve the Dispute informally.

(c) Binding Arbitration Before AAA. If the Dispute is not resolved through the informal process above, either party may elect arbitration.

(d) Exceptions.

• (i) Intellectual Property and Trade Secret Claims. Either party may bring a lawsuit in state or federal court exclusively for claims involving patent rights, copyright rights, trademark rights, moral rights, or trade secret misappropriation.
• (ii) Small Claims Court. Either party may bring an individual claim in small claims court if it is within that court’s jurisdiction.
• (iii) Mass Arbitration. If twenty-five (25) or more related arbitration demands are filed.

(e) Class Action Waiver. To the fullest extent permitted by law, you and Lyoness Jewels agree that all Disputes shall proceed only on an individual basis.

(f) Severability. If any part of this arbitration agreement is found unenforceable, that portion shall be severed.

(g) Right to Opt Out. You may opt out of this arbitration agreement.

(h) Governing Law and Venue. These Terms shall be governed by the laws of the State of New York.

(i) Provisions for EU Consumers

1. The arbitration provisions in Sections 24(a) through (h) above shall not apply to you.
2. Nothing in these Terms shall deprive you of the protection afforded by the mandatory provisions.
3. You may bring proceedings in the courts of your country of residence.
4. We are not obliged to participate in alternative dispute resolution procedures.

25. Severability

If any portion of these Terms is held to be unlawful, void, or unenforceable, the remaining provisions shall continue in full force and effect.

26. Entire Agreement

These Terms, together with the Privacy Policy, Return Policy, and any applicable Additional Terms, constitute the entire agreement between you and Lyoness Jewels.

27. Notice to New Jersey Users

If any warranty disclaimer, limitation of liability, or other provision in these Terms is found unenforceable under New Jersey law, that specific provision shall not apply to New Jersey residents.
